Position OverviewThe General Counsel & Chief of Staff (COS) role is primarily responsible for managing the legal affairs and providing legal counsel to the company. The position will also serve as the Chief of Staff to the CEO to lead and oversee operational efficiency, effectiveness, and excellence along with shaping the strategy to achieve it. The position reports directly to the CEO and will be a trusted member of and support the senior leadership team in advancing the full spectrum of AMS’s activities.
General Cousel ResponsibilitiesContracts & Agreements Involving the Company1. Responsible for review, negotiation and drafting of all agreements and contracts with third parties to protect the Company's financial, physical and non-physical assets, trade secret, and confidential information.2. Responsible for ensuring the confidentiality and full complete safeguarding of the Company's intellectual property, trade secrets and other confidential information of the Company, including customer lists and related records.Company Advertising & Promotions1. Identify all claims and representations in the Company's advertising, promotions, and scripts. Verify that the provided documentation adequately supports all claims and ensure compliance with federal and state laws, regulations, and rules.2. Identify usage of copyright-, trademark-, or patent-protected names, words, logos, or entities in the Company's advertising, promotion, and scripts. Flag any third-party approvals, licenses or authorizations which may be needed.3. Perform research as may be required to verify any claims/representations in the Company's advertising, promotions, and scripts.4. Prepare and update documentation and guidelines for employees involved in preparing and executing the Company's advertising, promotions, and scripts.5. Keep current on legal actions involving the promotion of products and/or industries similar to the Company's. Alert management to any potential liability within the Company's advertising, promotional or sales efforts.Dispute Resolution, Litigation Management & Risk Assessment1. Oversee all legal proceedings involving the organization, which may include working with external law firms or representing the organization directly in court.2. Assess third party complaints, mitigate risks involving actual and potential third-party claims and manage outside counsel if and when necessary to resolve such complaints and claims.3. Partner with CHRO to ensure the organization complies with all applicable laws and regulations, including industry-specific regulations. Develop compliance programs, policies, and training for employees.4. Identify potential legal issues that may involve the Company and alert management to potential liability. Chief of Staff Responsibilities1. Communications: This position is responsible for relaying information between and among the CEO, the Senior Leadership Team, Board of Directors, and other employees. As part of this function, the Chief of Staff attends internal, external, board and industry meetings as requested by the CEO. The Communications role includes providing an overall picture of productivity to the CEO and stakeholders.2. Consultation: This position provides data analysis and metrics of the company’s productivity to the Management Team, then suggests strategic initiatives to improve workflow, teamwork, and budget management.3. Measure team performance: In the Chief of Staff management role, the COS is responsible for determining performance indicators for the company in collaboration with the Senior Leadership Team, then delivering those metrics to the CEO and, when requested, board members.4. Oversee daily operations: This position works on the everyday action items that the CEO and Management Team does not have time to carry out, such as working with department leaders on project coordination and business administration.5. Prioritize tasks: This position assists the CEO with scheduling, prioritizing, and making the most of the CEO’s limited time. This includes working with the CEO’s Executive Assistant and in collaboration with the Senior Leadership Team to ensure a smooth operating rhythm and schedule, along with efficient and effective time allocation.6. Problem-solving: This position has decision-making power to identify employee issues and provide workable solutions, then communicate only the pertinent details to the Senior Leadership Team and board members, who may or may not follow up with additional direction.

Educational/Licensing Requirements 1. JD from accredited law school of recognized standing and currently licensed to practice law in the United States
Experiance & Skills:1. A minimum of 5-10 years proven corporate law experience working with direct marketing clients, in the following areas: FTC and state compliance regulations, Hobby Protection Act, copy law, Trademark protection, Trade Secrets, promotions claims, and patent protected names, words, logos, or entities in our advertising, promotions and scripts.2. Strong analytical and critical-thinking competencies, with an eye for creativity, thinking outside the box, and challenging established norms and methods.3. Deep business acumen, and extremely accurate and detail oriented.4. Project management and leadership skills including the ability to work as a team leader and team member, maintain project timelines, and deliver on commitments.5. Highest level of written and verbal communication and interpersonal skills, involving the ability effectively present and execute innovative ideas.6. Proven ability to build trust, confidence, respect and effective working relationships among individuals at all levels of the organization and with stakeholders and business partners.7. Excellent verbal and written communication skills to respond to inquiries from regulatory agencies, customers and business leaders. Effective problem solving and conflict resolution skills.8. Computer literate with experience Microsoft Word, Excel, Outlook, Access, or equivalent applications. Specialized Knowledge, Skills & Abilities 1. Ability to independently interact effectively with all levels of internal customers and with clients.2. Ability to prioritize activities, juggle competing deadlines, and move seamlessly among multiple on-going activities while providing several business partners superior service to each simultaneously.
